About the team:
The Company Secretariat supports the Group by ensuring that governance structures and mechanisms are in place to support the Board and shareholders. The Company Secretariat also ensures compliance with the listing rules and other requirements. We are a busy friendly team – every day is different here!

What you will be doing:

The key purpose of this role is to assist the Group Head of Company Secretariat in supporting the organisation, the Board and its Committees with its governance responsibilities. You will assist in ensuring compliance with all legal, regulatory, and shareholder requirements relevant to the organisation and promote good practice throughout the organisation.


Your responsibilities will be to…


  • Ensure that all obligations under the Market Abuse Regime are complied with.
  • Prepare and send all notices and amendments which satisfy regulatory and statutory requirements.
  • Assist in production of the Corporate Governance section of the Annual Report.
  • Coordinate with Finance on the preparation, publication and distribution of subsidiary annual reports and accounts.
  • Oversee the grant and exercise of the Sharesave scheme in conjunction with our registrars.
  • Support the Group Head of Company Secretariat in maintaining the Board manual, incorporating relevant governance documents such as the company’s articles, standing orders, codes of conduct, terms of reference and delegated authorities for committees and officers, authorised signatories etc.
  • To support virtual communication, website and intranet communications infrastructure.
  • To assist in the preparation of the annual schedule of meetings for the Board and Committees.
  • Assist the Group Head of Company Secretariat to plan Director induction programmes which provide a full, formal and tailored introduction to the business.
  • Developing a proactive relationship with Board members, providing them with information and advice.
  • Secretary to a Board Committee.
In return for your commitment:

We offer a base salary dependent on experience of circa £60-70,000 and a competitive benefits package including:

Could you be the one?:

We are looking for talented individuals who have the experience/knowledge and qualifications set out below:

  • Strong experience in a similar Company Secretary position, preferably within financial services
  • Prior experience and exposure to listing obligations
  • Robust understanding of UK company law and the organisation’s statutory requirements
  • ICSA/CGI Chartered Secretary qualification or equivalent
