Pall Industrial are currently looking to for an experienced Legal Counsel to join our friendly, hard-working team who play a vital role in our growing business.

This position is to be remotely based in the UK with some travel to Pall sites in the UK and EU.

Position Objective:
  • Responsible for providing legal review of all commercial contracts in close coordination with business managers.
  • Liaison with business functions on contractual terms, including, but not limited to, finance, tax, import-export and insurance.
  • Track correspondence regarding contract negotiations; prioritize matters requiring legal review together with the administration of signed contracts.
  • Maintain and update current status for all in-progress legal activities, including contracts and invoicing working closely with the Legal Operations Team in Kuala Lumpur.
  • Provide general legal advice in response to issues raised within EMEA
Role and Duties:

Commercial Contract Review for EMEA:
  • Legal review, drafting, negotiation and documentation of commercial transactions, contracts and other legally binding arrangements for all Pall Industrial BUs in EMEA including General Terms & Conditions, Procurement Agreements, Sales Agreements, Service Agreements, SME Agreements, EPC Contracts, Quality Agreements, Settlement Agreements, Lease Agreements and representation documents.
  • Roll out of communications and training to BUs on legal matters, change of process and change to agreements.
  • Build and maintain positive relationships with local leadership and other internal customers
  • Advise internal clients on legal issues, risks and company policies and proactively develop practicable solutions with balanced risks. Support them to prioritize risks and to identify, monitor and improve processes and internal controls.
  • Provide assistance and training to current and new Business Contract Reviewers regarding their contract review responsibilities under the Contract Review Policy on as needed basis.
  • Manage changes to standard contract templates for EMEA.
Channel Partner and Risk Assessment Activities:
  • Advising BUs on Channel Partner related activities including CPTK, DDQ and Risk Assessment process.
  • Preparation and review of Channel Partner Agreements.
  • Advising BU on jurisdictional requirements for Channel Partner termination.
  • Preparing termination notifications and settlements.
Activities for Legal & Compliance Projects:
  • Advising and supporting projects of the global L&C team in line with company´s strategic priorities
  • Work with the Legal Operations team to drive forward digitalization initiatives
  • Provide legal and contractual guidance in BU strategic initiatives and business opportunities with new technologies
  • Proactive and continuous improvement of standard work, procedures and tools
NDA and IP Agreement Activities:
  • Review and negotiation of confidentiality agreements.
  • Provision of legal advice on all NDA matters.
  • Training of Confidentiality Coordinators and updating of Coordinators Manual.
  • Review and advise on IP Agreements including Software, Copyright and Trademark License Agreements, MTA, Studentship and Development Agreements with support by Pall IP Counsel as required.
Training and Mentoring Activities:
  • Providing training to the business on legal and compliance matters.
  • Ongoing training of EMEA business contract reviewers.
  • Regular training refreshers for EMEA NDA Coordinators.
  • Rolling out training to support any changes to legal and compliance policies and procedures.
  • Training and mentoring new L&C team members, as required.
  • Periodically provide orientation training to new hired Business Contract Reviewers in EMEA on the Contract Review Process.
  • Training to EMEA Associates on the new Pall Contracts Connect system for each contract type.
What we need you to have:
  • Fully qualified to practice law in UK
  • Experience preferably working for an internal legal department of an international company with regard to reviewing, drafting and negotiating commercial contracts, or equivalent combination of education and contract experience.
  • Be able to understand and interpret contractual terms, identify potential legal issues and proactively provide practicable solutions with superior legal expertise and business judgement
  • Excellent communication, drafting and negotiation skills, strong interpersonal skills to master crucial conversations with conflicting interests
  • Resilient, results-oriented and efficient, be able to draft clearly and concisely, and have the ability to perform duties with minimum direct supervision.
  • Proficient in Microsoft Office (Excel, Word, PowerPoint) and comfortable to work with digital tools (like Legal Tracker) and automated systems.
  • Possess a high level of integrity. Work well within a team as well as independently.
  • Good project management and analytic skills to manage and prioritize multiple concurrent projects and to proactively take required actions to ensure timely completion.
  • Solution-oriented, highly responsive, service-oriented with good understanding of the business needs.
