LEGAL COUNSEL - CORPORATE M&A

Our client is a global leader in the renewable energy sector providing solar energy projects across the world.

As the business has grown so dramatically in the last few years, so has their legal team and it consequently is seeking to hire a Corporate M&A lawyer into the Group Legal team with a core focus on corporate legal matters. The role will include advising on:

  • International joint ventures/shareholder agreements, term sheets, share purchase agreements, asset purchase agreements, commercial contracts and NDAs) including for acquisitions/disposals
  • Corporate reorganisations and financing arrangements.
  • Drafting and negotiating documentation and interpreting corporate governance requirements and Companies Act 2006 requirements.
  • Assisting with corporate governance requirements (general company law and internal shareholder arrangements)
  • Supporting the company secretarial work for the global portfolio of companies

Candidate Requirements:

  • Ideally you will have at least 2 years’ PQE from a reputable law firm with direct corporate legal experience and can demonstrate experience of M&A, JVs and drafting various documents
  • Sector experience is not a requirement, but if you have had exposure to corporate transactions within the energy sector, then this would be advantageous
  • Commercial, confident in dealing with various different business members and a self starter
