Role Overview: The primary responsibility of this role will be to support the Global Funds Counsel in all legal aspects of the fund raising life-cycle (from concept, to marketing, documentation and closing) of a number of existing and new LaSalle products (which products include strategic partnerships, structured products, clubs and funds, the underlying investment of which is direct and indirect real estate, real estate securities, or loans secured against real estate). This position will work in very close consultation and on a daily basis with the Client Capital Group (“CCG”), various portfolio managers around the globe who are responsible for managing the products, and other members of the Legal and Compliance team around the globe. For specific projects, this position is also expected to work closely with regional in-house counsel, regional tax directors, LaSalle’s finance teams and LaSalle’s Luxembourg AIFM team.

Role and Accountabilities:
Advising CCG and others involved in marketing products with respect to securities marketing rules and issues across a number of jurisdictions (with particular emphasis on licensing, registration and marketing related rules in Europe and the Middle East).

Working with CCG and LaSalle internal compliance teams with respect to marketing materials.

Assisting in the preparation of key legal documents in connection with new and existing LaSalle products (including structuring, term sheets, management agreements, offering memoranda and constituent documents).

Managing external counsel.

Assisting in the fund raising process from initial structuring through to investor negotiations and “closing” of mandates and funds.

Working with portfolio managers regarding queries in respect of the ongoing operation of LaSalle products.

Assisting with the preparation and maintenance of internal policies.

Advising on the application of new legislation and regulations, such as the EU’s sustainable finance disclosure regulations, and working with portfolio managers and other LaSalle teams to implement any required changes across the fund documentation.

Required Qualifications & Experience:
Ideally 5-7 years PQE.

Private equity and/or real estate funds experience, ideally with some experience of both Luxembourg structures as well as more traditional “offshore” jurisdictions.

Must be able to demonstrate familiarity with key fund terms and broader issues relevant to the private equity and/or real estate funds industry.

Good working knowledge of the regulatory framework relating to investment management, in particular the marketing of investment funds (especially AIFMD in the EU).

Is collaborative with, and inclusive of, both senior and junior colleagues and be able to balance the “legal and compliance” role with the commercial needs of the business.

Strong drafting skills and must be prepared to get involved with preparation of a wide variety of documents.

Ability to assess and analyse complex legal issues leveraging LaSalle’s knowledge management and technology platform and capture, contribute to, and disseminate lessons learned and other best practices in LaSalle’s knowledge management platforms and with LaSalle colleagues.

Prepared to work on competing LaSalle products in different jurisdictions and time zones for demanding internal clients.
