The Role:
The Senior Legal Counsel will be a key member of our Legal & Compliance team located in our London office, and will report to the Senior Managing Counsel, Transactional, located in the U.S. The role will be responsible for providing strategic and project level legal support across the Sonnedix Group’s functions in jurisdictions where the company is seeking to work on strategic transactions, sell-downs, joint ventures, partnerships and other similar transactions to deliver the companies growth ambitions.

The Senior Legal Counsel will work closely with the Legal & Compliance team and other designated functions’ teams to develop strategy, support growth and project finance transactions, including assisting, together with outside counsel, in negotiating, drafting, and reviewing documentation, as well as overseeing the work of outside counsel. The role will assist the preparation and review of commercial agreements relating to the purchase, sale, and supply of power and other energy-related transactions, as well as ensure the compliance with global legal, contractual and risk management policies. The Senior Legal Counsel will also develop appropriate legal fee budgets for complex transactions, review and negotiate a wide variety of development related commercial contracts and provide legal support to on-going partnership relationships, as well as respond to a wide variety of requests for legal assistance.

Desirable skills:
  • At least 7+ years’ experience practicing as an attorney (transactional/development/M&A/project finance/corporate attorney, handling energy related acquisition and development work preferred)

  • License in good standing to practice law in the UK or New York

  • Experience in developing strategy for complex transactions and joint ventures aligned with company objectives

  • Experience with a wide range of contracting subject matter areas such as asset and share acquisitions and divestments, power purchase agreements, and joint ventures with a view to limiting risk and optimizing value

  • Ability to speak, read, write, and understand English (proficiency in one or more of the following languages preferred: Italian, Spanish, French, Portuguese, Polish, or German)
