Department Description

Our Acquisition and Leveraged Finance practice sits within the Banking and Loan Finance group in London. The practice advises both lenders and borrowers (including financial sponsors) on the financing of domestic and cross-border acquisitions, particularly leveraged acquisitions. Typical transactions would take the form of private equity sponsored management buy-outs, corporate acquisitions and public bids as well as refinancings and recapitalisations. The team regularly acts for direct lending funds as well as banks and has been at the forefront of the market in advising on structures such as unitranche and first out/last out.

Representative Experience

  • Advising Ares Management on the financing for the £1.1bn take-private of TalkTalk by Toscafund and Penta Capital.
  • Advising SMBC and Park Square on the financing of Inflexion’s acquisition of the Aspen Pumps Group.
  • Advising Five Arrows on the financing provided to Bowmark Capital to fund its acquisition of Totalmobile.
  • Advising Tikehau Investment Management on the financing of IK Investment Partners’ acquisition of Forthglade.
  • Advising Pemberton and Bank of Ireland on the provision of financing to fund Livingbridge Private Equity’s acquisition of Chill Insurance Limited and Inverna Insurance Limited.
  • Advising LGT and Natwest on the financing of Equistone’s acquisition of CH&Co Catering Group and the bolt on acquisition of Mitie Catering Services.
  • Advising Crescent Capital and Bank of Ireland on the financing of the acquisition by Montagu Private Equity of Kodak’s Flexographic Packaging Division.

Key Responsibilities / Accountabilities

Technical Ability

  • Understanding of legal principles of own practice area, along with a working knowledge of other practice areas
  • Has project management responsibility, ensuring timely delivery to high quality standards
  • Ability to lead financing transactions, reporting directly to the supervising partner
  • Stays aware of legal developments affecting any specialist areas and regularly attends appropriate training sessions

Person Specification

The Candidate

We have an opening for an Acquisition and Leveraged Finance lawyer. Experience gained within a top tier firm is preferred. It is essential that the candidate has a strong academic background with excellent written communication and drafting skills. The successful candidate will also have outstanding technical skills in acquisition and leveraged finance, together with the ability to build relationships with clients and colleagues and work well in a team. The ideal candidate will have between four to seven years post qualification experience (or equivalent experience).
