We have a fantastic opportunity for an Associate (NQ-3 PQE) to join our Guildford team. The role will provide key support within the team on a variety of corporate transactions and commercial project work.

The role will suit someone who is looking to develop their career supporting a wide variety of clients within a friendly collegiate team that is widely recognised for its expertise in this area.

This is an exciting role for an ambitious lawyer with the personality and drive to commit themselves to first rate client service and to making a contribution towards the Guildford Corporate Team’s growth plans.

Role and Responsibilities (this is a broad but not exhaustive list)

• Deliver highly efficient, professional and creative service to the existing clients of the department

• Assisting with disclosure and due diligence processes by co-ordinating the due diligence team across the firm, reviewing corporate and commercial documents, compiling relevant reports and identifying the key issues (whether corporate or otherwise) including liaising with and managing international legal counsel where appropriate

• Drafting and, as appropriate, negotiating on key transaction documentation for asset and share sale and purchase agreements for transactions of varying deal value

• Undertaking corporate reorganisations and restructuring work and drafting documentation to reflect a range of business ownership structures, such as shareholders’ agreements, LLP members’ agreements and partnership agreements

• Assisting on investment advisory mandates, negotiating shareholder agreements, share rights agreements, coinvestment agreements, drafting and negotiating constitutional documents and ancillary related documentation

• Delivering advice to clients on general corporate issues, company law and company secretarial matters

• Proactively seek to work with other Group members in the marketing of the firm’s services (including through business development events and pitching for new clients/work)

• Assist when requested with the cover of the cases of other Group fee earners during holidays or their absences abroad on business

• Demonstrate good judgement and a good legal and commercial understanding of clients’ particular needs

• Understand scope of task, manage time effectively and perform well under time and work pressures

• Building effective working relationships with all members of the team, including the trainee lawyers and paralegals

Person specification

• Be a solicitor qualified in England and Wales or equivalent between NQ and 3 PQE

• Excellent technical expertise and ability to not only research and advise on the law but also to apply that advice to the commercial needs of the client

• Excellent communication skills, both oral and written

• Ability to be proactive and keen to take responsibility

• Commercial awareness, financial acumen and business-like approach to both legal practice and business development

• Enthusiasm, commitment and a flexible approach

• Good team working and interpersonal skills

• Effective decision making and judgment skills
